PLEASE READ THESE CARD PROGRAM TERMS CAREFULLY. THESE TERMS ARE A LEGALLY BINDING AGREEMENT BETWEEN HAUL TECHNOLOGIES, INC. ("HAUL," "WE," "US," OR "OUR") AND THE BUSINESS IDENTIFIED IN THE APPLICABLE INDIVIDUAL CREDIT OFFER OR ACCOUNT RECORDS (THE "COMPANY," "YOU," OR "YOUR").
IMPORTANT DISPUTE NOTICE. SECTION 29 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. THE COMPANY MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AFTER FIRST ACCEPTING THESE TERMS.
These Card Program Terms govern the issuance, possession, use, administration, billing, repayment, suspension, and termination of commercial payment cards and related card-program services made available through Haul. Cards may be issued, processed, supported, or accepted through WEX, EFS, an issuing bank, payment network, or another financial or program partner identified in applicable partner terms. These Terms do not by themselves guarantee approval, a particular Credit Limit, a particular Billing Cycle, or availability of every feature.
These Terms supplement the Haul Business Platform Agreement, the applicable Individual Credit Offer, Fee Schedule, ACH and Linked Account Authorization, Product Schedule, Issuer or WEX terms, and any other Additional Terms. By accepting a Card offer, activating or using a Card, or permitting an Authorized User to use a Card, the Company accepts these Terms and applicable Additional Terms.
1. Definitions
For purposes of these Terms:
"Account" means the Company’s Haul business account and the related Card Program account, including Cards, Transactions, Statements, balances, limits, payment methods, and records.
"Additional Terms" means the Business Platform Agreement, Individual Credit Offer, Fee Schedule, Product Schedule, ACH and Linked Account Authorization, Personal Guaranty, reserve or security agreement, Issuer or WEX terms, state-specific disclosures, and other applicable written or electronic terms.
"Authorized Payment Account" means a business bank account or other payment method that the Company has separately authorized Haul or a payment partner to debit or charge.
"Authorized User" means an Administrator, Fleet Manager, Driver, employee, contractor, or other person whom the Company authorizes to possess, access, administer, or use a Card or Card Program feature.
"Available Credit" means the portion of the Credit Limit that Haul makes available for new Transactions after subtracting posted and pending Transactions, holds, fees, unpaid amounts, reserves, and other adjustments.
"Billing Cycle" means the period used to aggregate Transactions and other amounts for a Statement or Invoice. A Company may be assigned one weekly Billing Cycle or two Billing Cycles per week, or another frequency stated in the Individual Credit Offer.
"Business Day" means a day other than Saturday, Sunday, or a U.S. federal banking holiday, unless Additional Terms define it differently for a specific payment or network process.
"Card" means a physical or virtual commercial card, account number, token, credential, or other payment device made available through the Card Program.
"Card Balance" means all posted and pending Transactions, fees, adjustments, amounts due, and other obligations associated with the Card Program.
"Card Program" means the Haul commercial card and related billing, control, reporting, discount, payment, and account-management services.
"Credit Limit" means the maximum credit exposure or spending capacity Haul assigns to the Account, subject to holds, controls, pending Transactions, and Haul’s continuing discretion.
"Due Date" means the date on which an invoiced or stated amount is due, as shown in the Individual Credit Offer, Statement, Invoice, dashboard, or other notice.
"Event of Default" has the meaning stated in Section 18.
"Failed Payment" means an ACH debit, card charge, wire, check, transfer, or other payment that is rejected, returned, reversed, canceled, disputed, unauthorized, not funded, or otherwise not finally collected.
"Haul Balance" means an internal ledger displayed in the Platform. It is not a bank account, deposit account, or independently insured balance.
"Individual Credit Offer" means the Company-specific approval or offer identifying the product, Credit Limit, Billing Cycle, Due Date, pricing, fees, reserve, Personal Guaranty requirement, and other individualized terms.
"Invoice" or "Statement" means an electronic or paper record of Transactions, fees, credits, amounts due, Due Date, payment activity, and other Account information.
"Past Due" or "Delinquent" means that an amount remains unpaid after its Due Date or applicable cure period, including the status described in Section 17.
"Primary Payment Account" means the Authorized Payment Account designated as the Company’s primary source of repayment.
"Product Schedule" means Additional Terms for a credit, prepaid, secured, or other Card Program product.
"Secondary Payment Account" means any additional Authorized Payment Account that may be used if the Primary Payment Account is unavailable, insufficient, or otherwise cannot be successfully debited.
"Transaction" means a purchase, authorization, hold, adjustment, fee, credit, reversal, refund, transfer, or other activity processed or attempted through a Card or Card Program account.
"WEX" means WEX Inc., WEX Bank, EFS, and/or another WEX affiliate or program entity involved in processing, funding, network access, dispute handling, or other Card Program services, as applicable.
2. Relationship to Other Agreements and Program Partners
The Card Program operates through Haul and one or more Financial Partners. Haul may administer the Company relationship, establish limits and controls, invoice the Company, initiate or arrange payments, manage risk, and perform collections. WEX, an issuing bank, processor, network, or another partner may issue or process Cards, authorize Transactions, fund merchant settlement, maintain network rules, investigate disputes, or perform other functions.
The exact roles of Haul, WEX, any issuer, and other partners may be described in applicable Issuer or WEX terms. Those terms are incorporated when provided to and accepted by the Company. If a conflict exists, the order of precedence in Section 35 applies only to the subject matter governed by the conflicting provisions.
No partner’s participation guarantees that a Transaction will be authorized, a merchant will accept a Card, a particular discount will apply, or the Card Program will remain available in every jurisdiction or location.
3. Eligibility, Approval, and Commercial Purpose
The Card Program is available only to eligible U.S. businesses for lawful commercial purposes. It is not intended for personal, family, household, or consumer use. The Company must satisfy Haul’s eligibility, identity, underwriting, fraud, payment-account, partner, and compliance requirements and must maintain an active Haul Account in good standing.
Haul may approve, decline, defer, condition, limit, suspend, or discontinue a Card Program product based on risk, payment history, available data, fraud concerns, partner requirements, product availability, or applicable law. Approval of one product or Credit Limit does not require Haul to approve any future product, increase, renewal, or Transaction.
4. Card Ownership, Ordering, and Activation
Cards and associated credentials remain the property of the applicable issuer or program owner and must be returned, destroyed, or discontinued upon request. The Company may request physical or virtual Cards through the Platform, subject to approval, Card limits, shipping availability, identity verification, and applicable fees.
The Company must review each Card order and assignment for accuracy. A Card may require activation, identity or business verification, assignment to a vehicle or Authorized User, selection of controls, or creation of a PIN before use. Haul may refuse, delay, cancel, or replace a Card for security, fraud, operational, legal, or partner reasons.
5. Authorized Users and Company Responsibility
The Company may authorize Drivers, employees, contractors, and other Authorized Users to possess or use Cards. The Company is responsible for:
determining who may use each Card and promptly removing access when authority ends;
assigning Cards to the correct person, vehicle, fleet, or cost center;
communicating applicable Card, PIN, receipt, purchase, and security rules;
monitoring Card activity and investigating employee, contractor, or Driver misuse;
all Transactions and Account activity initiated with Cards, credentials, devices, or access provided by or through the Company, except to the extent applicable law or Additional Terms allocate responsibility differently; and
ensuring that each Authorized User accepts applicable Driver, User, Cardholder, or mobile-app terms before use.
No Administrator or Authorized User becomes a personal guarantor merely by administering or using a Card. A Personal Guaranty is effective only if separately executed by the individual guarantor, except that a sole proprietor may be directly liable as the business obligor.
6. Security, PINs, Credentials, and Lost or Stolen Cards
The Company and Authorized Users must protect Cards, PINs, credentials, devices, one-time codes, and Account access. PINs and credentials may not be written on a Card, stored insecurely, shared with unauthorized persons, or used for a person or business other than the Company.
The Company must immediately lock the affected Card through the Platform when possible and notify Haul if a Card, phone, device, PIN, credential, or Account is lost, stolen, compromised, or used without authority. Delay may increase the Company’s responsibility for Transactions and may limit Haul’s or WEX’s ability to prevent or recover losses.
Haul may lock, replace, reissue, tokenize, deactivate, or require verification for any Card or credential. Replacement and expedited-shipping fees may apply if disclosed in the Fee Schedule.
7. Purchase Controls and Permitted Use
The Card Program may support controls based on merchant type, fuel type, product category, location, time, amount, frequency, vehicle, Driver, odometer, gallon quantity, or other criteria. Controls are risk-management tools and do not guarantee that an improper Transaction will be declined or that a proper Transaction will be approved.
Cards may be used only for lawful business purchases permitted by the applicable network, issuer, merchant, Product Schedule, and Haul’s prohibited-activity rules. Cash advances, cash equivalents, money transfers, gambling, illegal goods or services, sanctions evasion, personal purchases, and other prohibited categories may be declined or treated as misuse.
Haul or a partner may modify controls, block merchant categories, limit locations, require prompts or identifying information, or restrict a Card based on security, fraud, credit, network, legal, or partner requirements.
8. Transaction Authorization, Holds, and Declines
A merchant or network may request authorization before accepting a Card. Haul, WEX, the issuer, or a processor may approve or decline a Transaction based on Available Credit, Haul Balance, purchase controls, merchant data, network rules, risk signals, Account status, offline limits, system availability, or other factors.
An authorization may reduce Available Credit or available prepaid funds before final posting. The final amount may differ from the authorized amount because of fuel dispenser practices, tips, taxes, adjustments, partial completion, merchant corrections, or network processing. Holds may remain until released or expired under network procedures.
Haul is not responsible for a merchant’s refusal to accept a Card, a decline based on inaccurate merchant coding, a network outage, an offline Transaction, or a partner’s authorization decision, except to the extent caused by Haul’s breach of an applicable obligation.
9. Merchant Acceptance and Network Limitations
Cards may be accepted only at participating merchants, locations, terminals, channels, or networks. Acceptance may change without notice. Some merchants may impose separate pump prices, credit prices, taxes, fees, minimums, product restrictions, or operating procedures. Haul does not control merchant inventory, fuel quality, posted prices, operating hours, or independent merchant practices.
The Company must resolve disputes about goods or services directly with the merchant unless applicable network or WEX procedures allow a Card dispute. A merchant dispute does not suspend the Company’s payment obligation unless Haul or the applicable partner confirms a provisional or final credit.
10. Credit Limit and Available Credit
Haul may establish an initial Credit Limit and may increase, reduce, suspend, freeze, condition, or terminate the Credit Limit at any time, to the extent permitted by law and applicable Additional Terms. Haul may consider payment performance, bank and transaction data, business credit, fleet activity, FMCSA or carrier data, fraud signals, partner requirements, reserves, guaranties, and other underwriting information.
Pending Transactions, authorizations, fees, overdue amounts, reserves, reversals, and other holds reduce Available Credit. Haul may decline Transactions that would exceed Available Credit. If Haul permits an over-limit Transaction, the Company remains fully liable and may be charged a disclosed fee. Approval of one over-limit Transaction does not require approval of another.
Available Credit generally will not be restored merely because Haul initiated an ACH debit. Haul may restore Available Credit after receiving confirmation of successful payment, final settlement, expiration of a risk hold, or another level of payment assurance acceptable to Haul. Restoration may be partial or delayed based on risk.
11. Credit, Prepaid, and Secured Products
The Company may be approved for one or more Product types:
Credit Product. Haul extends or arranges commercial payment capacity up to a Credit Limit, and the Company must pay the full amount due according to the assigned Billing Cycle and Due Date. Unless expressly stated otherwise, the Credit Product is not a revolving consumer credit account.
Prepaid Product. The Company must fund the applicable Haul Balance or designated program balance before use. Transactions may not exceed available funded amounts, subject to authorization holds, fees, reversals, and adjustments.
Secured Product. The Company provides a reserve, deposit, collateral, or other credit support under a separate Product Schedule or reserve agreement. Haul may apply available security to unpaid obligations to the extent permitted by the applicable agreement and law.
Haul may offer prepaid or secured terms instead of requested credit, or may migrate a Company between products based on risk, payment performance, product availability, and applicable notice requirements. Product-specific terms control the mechanics of funding, reserve use, refunds, and closure.
12. Fuel Pricing, Discounts, Rebates, and Savings
Depending on the merchant, location, program, Transaction, and Company offer, pricing may use retail-minus, cost-plus, merchant-specific pricing, a fixed cents-per-gallon discount, a surcharge or usage fee, a rebate, a promotional rate, or a combination. The applicable pricing method may be stated in the Individual Credit Offer, Fee Schedule, merchant or program materials, dashboard, or Transaction record.
Discounts and rebates are not guaranteed for every Transaction. They may vary by merchant, network, location, fuel type, gallon volume, posted price, time, program participation, taxes, fees, payment status, and data quality. A displayed estimate may differ from final settled savings.
Haul may correct, reverse, offset, delay, or recalculate a discount, rebate, fee, or credit when a Transaction is reversed, adjusted, disputed, duplicated, misclassified, processed with incorrect data, or otherwise reconciled. Discounts, rebates, promotional pricing, and other benefits may be suspended, reduced, or forfeited while the Account is Past Due, in default, under investigation, or otherwise not in good standing.
13. Fees and Charges
The Company must pay all fees disclosed in the applicable Individual Credit Offer, Fee Schedule, Product Schedule, Statement, or other accepted Additional Terms. Potential fees may include account, platform, active-card, active-truck, transaction, network, out-of-network, usage, credit, late, returned-payment, replacement, shipping, setup, expedited-service, reserve, factoring, and other product or service fees.
A fee applies only if disclosed and accepted as required by applicable law and the relevant Additional Terms. Taxes, merchant-imposed charges, third-party bank fees, overdraft fees, and network or processor charges may be separate from Haul fees. Haul may update fees in accordance with Section 32 and applicable notice requirements.
14. Statements, Invoices, and Billing Cycles
Haul will make Statements or Invoices available electronically through the Platform, email, or another approved channel. The assigned Billing Cycle may be weekly, twice weekly, or another frequency stated in the Individual Credit Offer. For a twice-weekly schedule, the specific cycle cutoffs and billing days will be shown in the Company’s offer, dashboard, or program materials.
Each Statement or Invoice may include posted Transactions, pending or adjusted items, fees, credits, rebates, payment activity, amount due, Due Date, and other information. The Company must review Statements promptly and notify Haul of suspected errors within the applicable WEX, issuer, network, or program dispute deadline described in Section 20.
Electronic delivery is effective when Haul makes the record available through the Platform, sends it to the Company’s designated email or contact channel, or otherwise delivers it under the Electronic Communications provisions. The Company must maintain accurate contact information and is responsible for retrieving Statements.
15. Payment Obligation and Due Date
The Company must pay the full amount shown as due, without setoff, deduction, counterclaim, or withholding except where required by law or confirmed in writing by Haul. Haul generally will generate an Invoice for the applicable Billing Cycle and initiate ACH on the next Business Day or on another Due Date stated in the Individual Credit Offer, Statement, or payment notice.
The Company must maintain sufficient available funds in each Authorized Payment Account. A payment is not final until Haul or its payment partner receives finally collected funds. Initiation, pending status, temporary credit, or an online confirmation does not constitute final payment.
Manual payment, wire, card payment, or another method may be accepted or required by Haul, but does not modify the Company’s recurring ACH obligations unless Haul confirms the change in writing. Haul may apply payments to fees, costs, past-due amounts, billed Transactions, unbilled exposure, or other obligations in an order permitted by applicable law and stated Additional Terms.
16. Authorized Payment Accounts and ACH
The Company must maintain at least one verified Authorized Payment Account at all times. Haul may require a Primary Payment Account and, based on risk, a Secondary Payment Account as a condition of activation, continued access, a particular Credit Limit, or a Credit Limit increase.
The Primary and any Secondary Payment Accounts must be U.S. business accounts owned by the Company or otherwise lawfully authorized for the Company’s obligations. A bank account connected only for analytics, underwriting, or account-information access is not an Authorized Payment Account unless the Company separately accepts an ACH and Linked Account Authorization for that account.
The separate ACH and Linked Account Authorization governs verification, recurring and one-time debits, retries, partial collections, use of Secondary Payment Accounts, credits, corrections, revocation, and other payment mechanics. Revoking or closing an Authorized Payment Account does not cancel amounts already owed and may result in suspension or termination of the Card Program.
17. Failed Payments, Reattempts, and Delinquency
If a payment fails, the Company must pay the unpaid amount within 24 hours after Haul sends a Failed Payment notice, unless Haul provides another cure period. Haul may immediately suspend Cards, Available Credit, discounts, rebates, account features, or new Transactions while a Failed Payment remains unresolved.
Subject to the applicable ACH authorization, Nacha Operating Rules, processor and bank requirements, and law, Haul or its payment partner may reinitiate, resubmit, or otherwise attempt to collect a Failed Payment from time to time from the Primary Payment Account, a Secondary Payment Account, or another Authorized Payment Account. Haul may collect the full amount or an authorized partial amount. A debit returned as unauthorized will not be reinitiated unless a new authorization or other lawful basis is obtained.
If an amount remains unpaid three Business Days after a Failed ACH or other Failed Payment, the Account will be treated as Past Due or Delinquent. Delinquency is not automatically an Event of Default solely because three Business Days have elapsed, but Haul may continue suspension, collections communications, payment attempts, risk review, limit reduction, reserve requirements, and other protective actions.
Returned-payment, late, collection, or related fees may apply if disclosed in the Fee Schedule or other Additional Terms. The Company is responsible for third-party overdraft, insufficient-funds, or bank charges caused by its payment-account condition, except to the extent prohibited by law.
18. Events of Default
An Event of Default occurs if:
the Company fails to pay an amount after expiration of a cure period stated in a notice, Individual Credit Offer, Product Schedule, or other Additional Terms;
the Company repeatedly incurs Failed Payments, closes or blocks an Authorized Payment Account, or fails to maintain required payment accounts, reserves, or credit support;
the Company provides materially false, misleading, incomplete, altered, or unauthorized information or documents;
the Company, an Authorized User, or a person acting through the Account engages in fraud, prohibited activity, sanctions evasion, unlawful conduct, or material misuse of a Card;
the Company becomes insolvent, files or becomes subject to bankruptcy or similar proceedings, makes an assignment for creditors, ceases operations, dissolves, or experiences another material event that threatens repayment;
the Company loses required operating authority, licenses, insurance, good standing, or legal eligibility in a manner material to the Card Program;
a Personal Guaranty, reserve, security arrangement, or material representation becomes invalid, revoked, impaired, or unenforceable;
the Company materially breaches these Terms or other Additional Terms and fails to cure when a cure is required; or
Haul, WEX, an issuer, processor, funding source, network, regulator, court, or law requires closure or termination.
Fraud, unauthorized activity, sanctions concerns, bankruptcy, intentional misrepresentation, or an urgent threat to repayment, security, or legal compliance may result in immediate default without a prior cure period, to the extent permitted by law.
19. Remedies After Default
After an Event of Default, Haul may, to the extent permitted by law and Additional Terms:
suspend or terminate Cards, the Account, discounts, rebates, and all Card Program access;
reduce the Credit Limit to zero and decline pending or future Transactions;
declare all obligations immediately due and payable;
debit Authorized Payment Accounts, apply Haul Balance entries, reserves, security deposits, rebates, credits, refunds, or other amounts available for setoff;
enforce a Personal Guaranty, reserve agreement, security interest, or other credit support;
refer the Account to internal or third-party collections, legal counsel, a collection agency, or another servicer;
report payment performance to business credit reporting agencies or other permitted recipients after applicable notices and operational readiness;
recover reasonable collection costs, legal fees, court costs, and other expenses when permitted by law and disclosed terms; and
exercise any other contractual, legal, or equitable remedy.
Haul’s delay or failure to exercise a remedy is not a waiver. Acceptance of a partial or late payment does not reinstate the Account, restore a Credit Limit, or waive default unless Haul confirms reinstatement in writing.
20. Transaction and Statement Disputes
Transaction disputes, billing-error claims, and chargeback requests are subject to the applicable WEX, issuer, processor, network, and program procedures. The Company must notify Haul promptly and within the deadline stated in the Statement, applicable partner terms, or Card Program materials. Failure to provide timely notice or requested documentation may waive or limit the dispute.
The Company must provide available receipts, Driver and vehicle information, merchant communications, police reports, affidavits, or other evidence reasonably requested. Haul may submit the dispute to WEX or another partner, but Haul does not guarantee provisional credit, recovery, or a favorable outcome.
Unless Haul or the applicable partner grants a credit, disputed amounts remain payable. A provisional credit may be reversed if the investigation does not support the claim. Merchant-quality, pricing, delivery, and service disputes generally must be resolved directly with the merchant.
21. Unauthorized Transactions and Fraud Claims
The Company must use reasonable controls to prevent misuse and must promptly report suspected unauthorized Transactions. Haul may consider whether a Card, PIN, credential, device, vehicle, Driver, employee, or contractor was entrusted by the Company; whether controls and alerts were used; when the Company discovered and reported the activity; and whether the claim is eligible under WEX or network rules.
Transactions by a person whom the Company authorized to possess or use a Card may remain the Company’s responsibility even if that person exceeded internal instructions, unless applicable partner terms or law provide otherwise. Haul may require the Company to cooperate with investigations and may suspend affected Cards or Accounts during review.
22. Refunds, Reversals, Credits, and Adjustments
Merchant refunds, network reversals, rebate credits, pricing adjustments, duplicate corrections, and dispute credits may post after the original Transaction. Haul may apply a credit to outstanding amounts, reduce a future Invoice, restore Available Credit, or adjust a Haul Balance rather than sending cash immediately.
If a credit, refund, or rebate was provided in error, duplicated, reversed, or based on incorrect information, Haul may reverse or offset it. A negative balance or credit balance does not create a bank deposit and may be handled under the applicable Product Schedule and unclaimed-property law.
23. Taxes and Government Charges
The Company is responsible for sales, use, excise, fuel, environmental, road, IFTA, and other taxes, assessments, and government charges arising from its purchases, operations, vehicles, or use of the Card Program, except taxes imposed directly on Haul’s net income. Haul and partners may collect, pass through, estimate, allocate, or correct taxes based on merchant and transaction data.
Reports and fuel-tax data are informational tools and are not tax advice or a substitute for the Company’s own records and professional review.
24. Card Program Records and Data
Haul and its partners may collect, receive, store, analyze, and share Card, transaction, merchant, fuel, payment, Driver, vehicle, device, fraud, and account data as described in the Haul Privacy Policy and applicable partner notices. Transaction data received from merchants or networks may be incomplete, delayed, coded incorrectly, or later adjusted.
The Platform may categorize or analyze Transactions and may create alerts, risk indicators, and reports. These tools do not replace the Company’s accounting, tax, payroll, transportation, or recordkeeping systems. The Company must independently verify information used for regulatory, financial, or tax filings.
25. Personal Guaranties, Reserves, and Credit Support
Haul may require a Personal Guaranty, reserve, security deposit, secondary payment account, shorter Billing Cycle, lower Credit Limit, prepaid funding, or other credit support based on underwriting or continuing risk. The Individual Credit Offer will identify material credit-support conditions.
No individual becomes personally liable merely by submitting an application, accepting these Terms for the Company, administering the Account, or authorizing a credit inquiry. A Personal Guaranty must be separately executed by the individual guarantor. A sole proprietor may be directly liable as the Company and business obligor.
Reserves, deposits, and security arrangements are governed by separate Additional Terms describing funding, control, application, replenishment, release, and return.
26. Suspension, Closure, and Program Changes
Haul may immediately suspend a Card, a feature, Available Credit, discounts, or the entire Card Program for a Failed Payment, Past Due status, fraud concern, unusual activity, security issue, inaccurate information, adverse risk change, partner request, network requirement, legal requirement, or other protective reason.
The Company may request closure after all Cards are deactivated, pending Transactions and disputes are resolved, and all obligations are paid. Closing the Platform or Card Program does not cancel the Card Balance or other obligations. Haul may keep limited statement access for a period and may retain records as required by law, partner obligations, risk, collections, or the Privacy Policy.
Haul may change, replace, migrate, rebrand, or discontinue a Card, network, issuer, processor, product, merchant program, or feature. Material changes will be communicated as required by Section 32, applicable partner terms, and law.
27. Company Representations and Covenants
The Company represents and agrees that:
it is duly organized or lawfully operating, has authority to enter these Terms, and will use the Card Program only for business purposes;
information and instructions provided by or for the Company are complete, accurate, current, and authorized;
it will maintain sufficient funds, required payment accounts, operating authority, licenses, insurance, and other qualifications;
it will comply with applicable law, sanctions, network rules, WEX or issuer terms, merchant requirements, and Additional Terms;
it has authority to provide information about Authorized Users and to permit Haul and partners to process that information;
it will not use the Card Program to facilitate fraud, money laundering, evasion, illegal activity, personal spending, or prohibited transactions; and
it will immediately notify Haul of material changes in ownership, control, bank accounts, business status, operating authority, insolvency, or information affecting repayment or eligibility.
28. Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CARD PROGRAM AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HAUL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Haul does not warrant uninterrupted acceptance, authorization of every Transaction, availability at every merchant, prevention of all fraud, accuracy of merchant or partner data, a particular discount or savings amount, or approval or continuation of any Credit Limit or product.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAUL AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST DATA, REPUTATIONAL HARM, DOWNTIME, MERCHANT ACTIONS, DECLINED TRANSACTIONS, OR INDEPENDENT PARTNER ACTIONS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAUL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $1,000 OR (B) FEES ACTUALLY PAID BY THE COMPANY DIRECTLY TO HAUL FOR THE CARD PROGRAM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
The limitations do not apply to liability that cannot lawfully be limited or to Haul’s fraud, willful misconduct, or breach of confidentiality to the extent a limitation is prohibited by law. The Company’s payment obligations, Card Balance, fees, collection costs, indemnity obligations, and obligations under a Personal Guaranty, reserve, or security agreement are not limited by this Section.
29. Dispute Resolution, Arbitration, and Class Action Waiver
THIS SECTION REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES CLASS, COLLECTIVE, CONSOLIDATED, AND REPRESENTATIVE ACTIONS AND JURY TRIALS.
Before filing arbitration or litigation, a party must send written notice describing the dispute, relevant facts, requested relief, and contact information. The parties will attempt in good faith to resolve the dispute for at least 30 days.
Except for eligible small-claims matters, requests for temporary injunctive relief involving security, fraud, confidential information, or intellectual property, and matters that cannot lawfully be arbitrated, disputes arising out of or relating to these Terms, the Card Program, a Card, a Transaction, an Account, or the relationship between the parties will be resolved by binding individual arbitration administered by [AAA OR JAMS - COUNSEL TO SELECT] under applicable commercial rules and the Federal Arbitration Act.
THE PARTIES MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. EACH PARTY WAIVES A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
The Company may opt out by sending written notice within 30 days after first accepting these Terms. The notice must identify the Company, Account, signer, and request to opt out, and must be sent to info@haulfuel.com and, if requested, Haul’s postal address. Opting out of these Terms does not automatically opt out of arbitration in a separate issuer, WEX, factoring, or partner agreement.
30. Governing Law and Venue
Except for the Federal Arbitration Act and non-waivable law, these Terms are governed by Delaware law without regard to conflict-of-law rules. A dispute not subject to arbitration must be brought in the state or federal courts located in Delaware, unless applicable law requires another forum. Mandatory rights under another state’s law remain applicable to the extent they cannot be waived.
31. Electronic Records, Signatures, and Notices
The Company agrees to conduct Card Program transactions electronically and to use electronic records and signatures. Electronic acceptance, activation, use of a Card, or another electronic action adopted with intent to agree may bind the Company. Haul may provide Statements, Invoices, Failed Payment notices, limit notices, updates, and other communications by email, dashboard, in-app notice, SMS, push notification, or postal mail.
The Company must maintain current contact information and equipment capable of accessing and retaining records. Telegram may be used for support or operational communication but will not be the sole channel for legally significant notices. Notices from the Company may be submitted through the Platform, to info@haulfuel.com, or to Haul’s postal address as instructed.
32. Changes to Terms, Pricing, and Billing
Haul may update these Terms, a Fee Schedule, Billing Cycle, payment process, pricing method, Credit Limit, controls, or Card Program feature. Nonmaterial or operational changes may become effective when posted or communicated. Material changes affecting payment obligations, pricing, dispute rights, or legal rights will receive advance notice and renewed electronic acceptance when required by law or applicable partner terms.
Haul may shorten a Billing Cycle, increase payment frequency, reduce a Credit Limit, require a Secondary Payment Account, reserve, Personal Guaranty, or prepaid funding, or otherwise modify risk terms based on continuing underwriting, payment history, fraud, partner requirements, or risk. The Company may stop new use and request closure if it does not accept a material change, but remains responsible for existing obligations.
33. Assignment and Third-Party Beneficiaries
The Company may not assign these Terms, an Account, a Card, or payment rights without Haul’s prior written consent. Haul may assign or transfer these Terms, receivables, servicing rights, payment rights, or Card Program responsibilities to an affiliate, issuer, processor, funding source, successor, purchaser, or other Financial Partner, subject to applicable law and partner terms.
WEX, an issuer, processor, funding source, and their respective affiliates may be intended third-party beneficiaries of provisions protecting their rights, data, systems, payments, network, or Card Program functions, to the extent stated in applicable partner terms or approved program documents.
34. Force Majeure
Haul is not liable for delay, interruption, decline, non-acceptance, or failure caused by events beyond its reasonable control, including power or network failures, processor or bank outages, merchant systems, telecommunications failures, natural disasters, government actions, war, civil unrest, labor disruption, cyberattack despite reasonable safeguards, or payment-network events. This Section does not excuse the Company’s obligation to pay amounts already incurred.
35. General Terms and Order of Precedence
If documents conflict, the following order applies, but only for the subject matter each document governs:
Individual Credit Offer;
applicable Issuer or WEX Card Terms;
applicable Product Schedule or state-specific disclosure;
applicable Fee Schedule;
these Card Program Terms;
Haul Business Platform Agreement; and
Haul Website and App Terms of Use.
A Personal Guaranty, ACH and Linked Account Authorization, reserve or security agreement, factoring agreement, or dispute-specific partner rule controls the particular obligation it addresses. The Haul Privacy Policy describes data practices and is incorporated by reference where permitted.
These Terms and applicable Additional Terms are the entire agreement concerning the Card Program and supersede prior statements on that subject. If a provision is invalid, it will be enforced to the maximum lawful extent and the remainder will continue. A delay or failure to enforce a right is not a waiver. Headings are for convenience. "Including" means "including without limitation."
